This Agreement is made and entered into by and between THAT Travel Solution, LLC. (TTS) subsidiary of Taktik Enterprises, Inc. (On behalf of Kids Eat Free Card, VIP Shop & Dine 4Less Card (FKA VIP Dine 4Less Card) and/or Play 4Less Card) known as the “Company”, and ({Business Name}) herein known as the “Client”, hereby agree to the following:

Consideration.

  • The Kids Eat Free Card (the “KEFC”) ”) If noted in Exhibit Form, each card is valid for one child 11 years or younger per card per full price paying adult.
  • The VIP Shop & Dine 4Less Card (FKA VIP Dine 4Less Card) (the ”VIP S&D4LC”) If noted in Exhibit Form, each card is valid for up to four (4) guests.
  • The Play 4Less Card (the”P4LC”) If noted in Exhibit Form, each card is valid for up to four (4) guests.

Each Card may be formatted in 1 of 3 platforms:

  • Physical Card – A physical plastic version of card that may be presented by each guest and must be signed and dated prior to use.  All physical cards will have a unique serial number printed on them which can be used for additional tracking by the Client
  • eCard – a print a home version that contain their name, date range.  Generally printed on on 8.5” x 11” paper and will have an approved image of the eCard prominently displayed. All eCards will have a unique serial or reference number printed on them which can be used for additional tracking by the Client
  • iCard – The iCard is a mobile version that a guest displays from our mobile apps with clearly marked valid serial number and guest information in which the Client may use for further tracking as well.  Client may optionally require the use of the “Redeem” function associated with any redemption of their offer.  The “Redeem” feature is located directly on the Clients offer in the user’s mobile app.

Herein, the Client wishes to market its venue by participating in this program and in exchange for participating in either, some or all programs, the Company shall actively communicate and/or promote the Client’s venue and participating offer to its card holders and through travel and other channels around the world.  This may include but no limited to company owned websites and mobile platforms, partner websites, printed materials, social media, trade publications and other mediums that actively promote the Clients’ venues and participating offer.

Setup Fee Summary:

A standard onetime setup fee shall apply and the Client agrees to pay as outlined unless stated otherwise. 

Standard Setup fees are due prior to program feature(s) being developed.  No other fees shall ever be assessed as long as this agreement is in effect and in good standing. Initial Next to Number of Programs:

  • Participation in ONE program (KEFC/VIP S&D4LC/P4LC) – $700.00 For First Location / $250.00 each Additional Location
  • Participation in TWO programs (KEFC/ VIP S&D4LC /P4LC) – $1000.00 for First Location / $250.00 each Additional Location
  • Participation in all THREE programs (KEFC/ VIP S&D4LC /P4LC) – $1200.00 for First Location / $250.00 each Additional Location

All applicable or eligible discounts and/or in-kind trade for Standard Set Up fees must be approved in writing by the Chief of Business Development or other authorized representative in order to be valid.

The Total Amount Due shall be invoiced to Client via a secured payment link to be sent to their authorized representative.  Payments may be made by Check, ACH bank transfer or by major credit card.

In-Kind Trade Amount Due – If applicable, all in-kind trade shall be unrestricted and non-expiring, non-expiring gift certificates, gift cards, vouchers or promo codes should issued in increments of $25.00 or less for issuances to card holder initiatives and other marketing campaigns. In-kind trade allowance must be authorized by an authorized Representative From Taktik Enterprises, Inc in lieu of applied discounts.

NOTE:  All approved in-kind trade due shall be unrestricted and non-expiring, non-expiring gift certificates, gift cards, vouchers or promo codes should issued in increments of $25.00 or less for issuances to card holder initiatives and other marketing campaigns shall be mailed to:

  • I. Term.  The Term of this Agreement shall commence upon the date of this agreement is signed or electronically agreed to by both parties, and will expire or terminate only when properly canceled by the client in respective approved time frames as noted in sections VI (“Client Cancelation Terms”), or when terminated by the Company as it sees fit  or as noted in section V (“Compliance”).  This Agreement is not valid until agreed to in writing by both parties.
  • II. Changes.  Client may change their participation offer level at any time if done so in writing and ultimately approved by the Company.  Such approved changes shall be reflected online within 3 to 5 business days from the time such changes have been approved by the Company.
  • III. Promotional Material.  The Client further agrees to display “KEFC and/or VIP S&D4LC and/or P4LC Accepted Here” decals in an conspicuous location, preferably on the front door, guest service desk, menus; with final decision of exact location(s) to be determined by Client’s management
  • IV. Use of Client Name and Likeness.  The Client understands that TTS. will be promoting their name on partner sites and marketing collateral and will use but not limited to the Client’s name, approved logo, website, copy, images, digital assets and/or menu to further promote the Clients venue only for the campaigns directly related to programs selected and will only use assets that have been approved for final use by the Client.
  • V. Compliance.  The Company shall make available various training materials to the Client for the purposes of informing and educating the Client’s staff, however the Client hereby agrees to then make every best effort to ensure that their management and service staff are knowledgeable of the offerings presented under the terms of this agreement and shall therefore honor the promotional offer to each respective customer that presents a valid card for each respective participating program.
  1. The Company shall notify the Client of any alleged events of non-compliance and shall any available supporting documentation or information provided by the effected user.
  2. The Client may also provide any supporting information or documentation in which an alleged event of non-compliance may be disputed by the Client.
  3. Compliance failures that results in three (3) or more Company documented customer complaints in a calendar year may result in immediate removal from the program at the sole discretion of the Company.
  4. In any event in which the Client’s staff have been deemed to have refused or failed to honor their venue’s bona fide published offer, upon request by the Company along with supporting documentation of a non-compliant event, within 3 business days, the Client shall promptly reimburse the total value of any offer not properly honored as follows and as determined by the Company;

  1. by direct payment to the effected user, or;
  2. in the form of gift certificate issued directly to the effected user, or;
  3. by reimbursed payment to the Company in the event that the Company deems it most efficient or appropriate to issue any user effected by a non-compliance failure or refusal to honor the Client’s published offer, or;
  4. in the form of gift certificate issued to the Company to then be forwarded to the effected user,

VI. Client Cancelation Terms.  Client understands that this agreement, beyond any cancellations periods set forth, shall remain in effect until properly canceled by the Client.  Client may cancel this agreement at any time with at least 7 business days written notice of requested cancelation date. Such cancellations by the Client shall be in writing to [email protected].  No refunds will be made for any terminations of this agreement.  Upon effective cancelation, the Client’s web and mobile app pages shall be unpublished and removed from participating offer directories upon effective cancelation date, however the Client agrees to honor their last published offer until December 31st in the year that they have canceled their participation unless agree otherwise by the Company.

VII. Written Notice.  Any and all notices to Company shall only be sent via email, and shall be sent to the following address: [email protected] and notices to the Client shall be sent to {Authorized Representative\’s Email Address:2}

Client understands that by agreeing to this form, that they agree to honor the terms of the program in exchange for the Company Promoting their venue and provides authorization for payment option selected below. Client further understands that by agreeing to this form that they agree to honor the terms of the program(s) selected in exchange for the Company promoting their venue in each respective program.

Acceptance of these terms and conditions shall be recognized by affirmative response to via email and shall be deemed a valid electronic signature under Florida law.

General Program Terms and Conditions That Apply for Each Respective Program.

Kids Eat Free Card, Kids Eat Free Card PLUS, Kids Eat Free Card GOLD and Cards powered by the Kids Eat Free Card program.

  • Kids Eat Free Cards cannot be used with any other discounts or offers.
  • Each Kids Eat Free Card is valid for 1 child (11 years of age or younger) with full price paying adult entree. (Example: 2 children with 2 Kids Eat Free Cards, with 2 full price paying adult entree’s.)
  • Kids Eat Free Card child’s menu items may vary from standard restaurant’s child menu choices in some cases.
  • Kids Eat Free Card meals may not apply to taxes, gratuities, bar (alcohol), drinks or take away food unless permitted by the restaurant.
  • Kids Eat Free Cards are Non-Refundable and Non-Transferable.
  • Standard Kids Eat Free Cards expires 90 Days or 365 Days from first use. Global Lifetime Rewards Cards never expire.
  • Kids Eat Free Cards are not valid until signed and dated.
  • Participating Venues may be removed from accepting card offer without prior notice.

VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards and Cards powered by either program.

  • VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards and Cards powered by either program cannot be used with any other discounts or offers.
  • Each VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards and Cards powered by either program is valid for up to 4 people.  Additional people will require additional cards.  (Ex:  A party with 5 people would need 2 VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards or Cards powered by either program.)
  • VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards and Cards powered by either program meals and offers may not apply to taxes, gratuities, bar (alcohol) drinks or take away food unless permitted by the restaurant.
  • VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards and Cards powered by either program are Non-Refundable and Non-Transferable.
  • Standard VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards and Cards powered by either program expires 90 Days or 365 Days from first use. Global Lifetime Rewards Cards never expire.
  • VIP Dine 4Less Cards and VIP Shop & Dine 4Less Cards and Cards powered by either program is not valid until signed and dated.
  • Participating Venues may be removed from accepting card offer without prior notice.

Play 4Less Cards and Cards powered by Play 4Less Card program.

  • Play 4Less Cards and Cards powered by Play 4Less Card cannot be used with any other discounts or offers.
  • Each Play 4Less Cards and Cards powered by Play 4Less Card is valid for up to 4 people.  Additional people will require additional cards.  (Ex:  A party with 5 people would need 2 Play 4Less Cards or Cards powered by Play 4Less Card.)
  • Each Play 4Less Cards and Cards powered by Play 4Less Cardis valid for up to 4 people
  • Play 4Less Card sand Cards powered by Play 4Less Card offers may not apply to taxes, gratuities, bar (alcohol) drinks or take away food unless permitted by the venue.
  • Play 4Less Cards and Cards powered by Play 4Less Card are Non-Refundable and Non-Transferable.
  • Standard Play 4Less Cards and Cards powered by Play 4Less Card expires 90 Days or 365 Days from first use. Global Lifetime Rewards Cards never expire.
  • Play 4Less Cards and Cards powered by Play 4Less Card are not valid until signed and dated.
  • Participating Venues may be removed from accepting card offer without prior notice.

ALL Cards

  • Use of any Card, eCard or iCard (mobile version) is subject to full adherence to all restrictions, terms and conditions set forth on this page.
  • Participating venues reserve the right to offer or change their specific menus at any time without notice.  To learn more about a specific menu offerings at each location, you must contact the restaurant directly prior to use.
  • All cards are protected under Federal Copyright and Trademark laws and may not be sold, resold, copied or reproduced without the express written permission of Taktik Enterprises, Inc.  Non compliance may be subject to criminal and/or civil penalties as allowed by law.
  • Cards may not be sold or resold on eBay, similar auction site or anywhere else and will be deemed unauthorized unless approved in writing by Taktik Enterprises, Inc to otherwise do so.  Any unauthorized card sales or distribution may be subject to criminal and/or civil penalties as allowed by law.
  • When registering your Card or eCard on any of our mobile apps or platforms, you certify that you are in authorized possession of the respective card and any abuse or misrepresentation of the the Card, serial number or other identifiers may result in civil theft liability and may be prosecuted in a criminal jurisdiction to the fullest extent permitted by law.
  • All Cards are the property of the Company unless otherwise stated in writing by the Company.  All cards must be surrendered upon demand for any abuse or implied abuses surrounding the program and as determined by the Company.
  • The Company reserves the right to modify all restrictions, terms and conditions at any time and without notice.
  • All  programs may also support proprietary white labeled or private labeled cards in any of the formats available on behalf of exclusive distribution arrangements through various third party travel and other companies around the world.   All white labeled and private labeled card programs will be clearly identified with the respective program’s “powered by” logo.
